Project finance requires a detailed understanding of the commercial, contractual and regulatory framework that underpins a project. Our Project Finance practice advises lenders, borrowers, sponsors, developers and investors on the financing of greenfield and brownfield projects across sectors including renewable energy, infrastructure, real estate, industrial projects and technology-led businesses.

Overview

We advise clients across the entire project lifecycle, from development and construction through operations, expansion and refinancing. Our experience includes advising on project financing structures, term loan facilities, external commercial borrowings (ECBs), refinancing transactions and other structured financing arrangements involving complex project assets and revenue streams.

We advise at every stage of a project financing transaction, including legal due diligence of project documents, land and title matters, regulatory approvals, concession and offtake arrangements, financing structures, security creation and perfection, drafting and negotiation of finance and project documents, satisfaction of conditions precedent and issuance of closing opinions. We work closely with lenders, sponsors, technical advisors and other stakeholders to identify and address project risks while ensuring commercially efficient financing structures.

Experience

Our lawyers have advised domestic and international banks, financial institutions, project developers and sponsors on complex project finance transactions across the renewable energy, infrastructure and industrial sectors. We regularly advise on transactions involving solar, wind, hybrid renewable energy, battery energy storage systems (BESS), real estate and other infrastructure assets.

We have experience advising on greenfield project financings involving projects under development as well as brownfield financings involving operational assets, expansion projects and refinancing arrangements. Our practice advises on project-related security packages, including security over project assets, receivables, shares, contracts and other rights, as well as intercreditor and lender coordination arrangements.

Our experience also includes advising on regulatory matters arising under the Reserve Bank of India framework, Foreign Exchange Management Act, 1999 (FEMA), sector-specific regulations and applicable corporate laws. By combining financing expertise with an understanding of project-specific risks and commercial objectives, we assist clients in structuring and executing projects efficiently while protecting their legal and financial interests.
