Private credit has emerged as an important source of capital for businesses seeking flexible and customised financing solutions beyond traditional lending channels. Our Private Credit practice advises direct lenders, alternative investment funds, non-banking financial companies (NBFCs), family offices, institutional investors and corporates on bespoke debt transactions across sectors.

Overview

We advise clients throughout the lifecycle of private credit transactions, from initial term sheet negotiations and debt structuring through documentation, security creation, intercreditor arrangements and closing. Our team assists lenders in structuring transactions that align investment objectives with appropriate credit protections, including repayment mechanisms, security packages, priority arrangements and enforcement rights.

Drawing on our experience in banking and finance, structured finance and debt transactions, we advise on customised financing structures involving senior secured debt, subordinated debt, mezzanine financing, acquisition financing and other tailored credit arrangements. We work closely with lenders, borrowers and other stakeholders to develop structures that address the specific requirements of each transaction.

Experience

We advise private credit providers on term sheet structuring, facility documentation, security arrangements, debt ranking, covenant packages, intercreditor arrangements and regulatory compliance. We have experience advising on transactions involving alternative investment funds, NBFCs, financial institutions and other private capital providers.

We regularly advise on complex debt transactions involving multiple stakeholders, bespoke security structures and negotiated creditor rights. Our practice also advises on regulatory considerations arising under the Reserve Bank of India framework, Foreign Exchange Management Act, 1999 (FEMA), Companies Act, 2013, SEBI regulations and other applicable legal frameworks. By combining financing expertise with an understanding of credit risk, security enforcement and transaction structures, we assist clients in executing private credit transactions that are commercially effective and provide clarity on rights, obligations and recovery outcomes.
