Financial Regulatory

Financial institutions and regulated businesses must navigate evolving regulatory requirements while balancing commercial objectives with compliance obligations. Our Financial Regulatory practice advises banks, non-banking financial companies (NBFCs), financial institutions, investment funds, corporates and other regulated entities on regulatory matters arising from their products, operations and transactions.

Overview

We provide advisory support on regulatory compliance, licensing requirements, regulatory approvals, product structures, cross-border transactions and evolving legal requirements under applicable financial sector regulations. We assist clients in identifying regulatory considerations at an early stage and develop practical solutions that enable businesses to operate effectively within the applicable regulatory framework.

Our practice works closely with our Banking & Finance, Private Credit, Structured Finance, Corporate and M&A teams to provide regulatory advice in connection with lending transactions, investments, financing structures, restructurings and other strategic transactions.

Experience

We advise clients on matters involving the Reserve Bank of India (RBI) framework, Foreign Exchange Management Act, 1999 (FEMA), Securities and Exchange Board of India (SEBI) regulations and other financial sector regulations. We assist clients with regulatory analysis, compliance reviews, transaction structuring, regulatory filings, approvals and interpretation of evolving regulatory requirements.

We also advise financial institutions and corporates on regulatory considerations arising from financing arrangements, investments, cross-border transactions, debt instruments and corporate restructurings. Our approach combines regulatory knowledge with commercial awareness, enabling clients to anticipate regulatory issues, manage compliance risks and execute transactions efficiently.
