Structured finance involves tailored financing arrangements where the allocation of assets, cash flows, security and creditor rights must be carefully structured to achieve the intended commercial outcome. Our Structured Finance practice advises financial institutions, lenders, investors and corporates on complex financing transactions involving securitisation, refinancing, loan transfers, intercreditor arrangements and bespoke debt structures.
Overview
We advise clients on transactions involving the acquisition, transfer and restructuring of debt, receivables and security interests, assignment of loans, loan sell-downs, refinancing arrangements, subordination structures and intercreditor frameworks. Our team works with clients to develop structures that address commercial objectives while ensuring clarity on rights, obligations and enforcement mechanisms.
Our lawyers advise throughout the transaction lifecycle, including structuring, due diligence, review of underlying assets and security arrangements, drafting and negotiation of transaction documents, regulatory analysis, implementation of security arrangements and issuance of closing opinions. We focus on ensuring that transaction documentation remains effective not only at closing but also in scenarios involving enforcement, restructuring or changes in creditor positions.
Experience
Our team has advised financial institutions, NBFCs, corporates and investors on domestic and cross-border structured financing transactions across sectors. We regularly advise on securitisation transactions, assignment of receivables, refinancing of existing facilities, loan portfolio transfers, intercreditor arrangements, subordination structures and security realignment.
We have experience advising on transactions involving multiple lenders and stakeholders, where careful structuring of creditor rights, enforcement mechanisms and security priorities is critical. Our practice also advises on regulatory considerations arising under the Reserve Bank of India framework, Foreign Exchange Management Act, 1999 (FEMA), Companies Act, 2013 and other applicable legal frameworks. By combining financing expertise with a detailed understanding of credit structures and creditor relationships, we assist clients in executing complex structured finance transactions while protecting their commercial and legal interests.
