Our General Corporate practice advises domestic and international corporates, financial institutions, investment funds, promoters and their portfolio companies on a broad range of corporate, commercial and regulatory matters arising throughout the business lifecycle. We provide strategic legal advice on corporate structuring/ re-structuring, governance, regulatory compliance and day-to-day corporate advisory, enabling clients to operate efficiently while managing legal and commercial risk.
Overview
We assist clients from the stage of incorporation and business establishment through expansion, investment, restructuring and exit. Our lawyers regularly advise on corporate governance, board and shareholder matters, commercial arrangements, legal due diligence, transaction support, regulatory approvals and ongoing compliance under applicable Indian laws.
Our practice also includes drafting, negotiations and review of a wide range of commercial contracts, legal opinions and advisory memorandums. We work closely with management teams, in-house legal departments and other professional advisors to provide commercially practical solutions that support our clients’ strategic and operational objectives.
Experience
Our team has advised on a diverse range of corporate and commercial matters across industries, including corporate reorganisations, shareholder arrangements, business transfers, governance frameworks and strategic commercial transactions. We regularly advise clients on compliance with the Companies Act, 2013, the Foreign Exchange Management Act, 1999 (FEMA), foreign direct investment (FDI) regulations, SEBI regulations and other sector-specific regulatory frameworks.
We have considerable experience in preparing and negotiating commercial agreements, advising on cross-border transactions, issuing legal opinions and advisory memoranda, and supporting clients through complex regulatory and transactional matters.
