Overview

We represent promoters, corporates, multinational companies, private equity and venture capital funds, family offices, financial institutions and strategic investors in relation to acquisitions, mergers, divestments, joint ventures, strategic alliances, business transfers, corporate reorganisations and other complex corporate transactions.

Our team advises on all stages of the transaction lifecycle, including transaction structuring, legal due diligence, regulatory analysis, negotiations and drafting of transaction documents, obtaining statutory and regulatory approvals, signing, closing and post-completion matters. We work closely with our clients and their financial, tax and commercial advisors to develop transaction structures that are legally robust, commercially efficient and aligned with business objectives.

Experience

We have experience advising on both private and public M&A transactions, including acquisitions of companies, open offers, takeover transactions, delistings, and other transactions governed by the SEBI regulatory framework.

Our lawyers regularly advise on matters involving the Companies Act, 2013, SEBI regulations, foreign investment laws, sector-specific regulations and other applicable legal frameworks. The practice also advises on acquisitions and investments involving distressed assets, including transactions undertaken through insolvency and restructuring processes. Our objective is to help clients complete transactions efficiently while safeguarding their commercial interests and facilitating long-term value creation.
