Structured and executed various domestic and cross-border financing transactions for numerous banks, NBFCs, and corporates. Experience includes syndicated and bilateral lending, working capital loans, external commercial borrowings, and lease rental discounting facilities.

Private Credit

Advised direct lenders, AIFs, NBFCs, and family offices on bespoke private credit transactions, including structuring of a term sheets, facility documentation, debt structuring, and intercreditor arrangements.

Non-Convertible Debentures (NCDs)

Advised issuers, and arrangers on rated and unrated, listed and unlisted NCD issuances, including drafting of debenture trust deed and other transaction documents, conditions precedent and conditions subsequent documents, and issuance of closing opinion.

Project Finance

Acted on greenfield and brownfield project financings across real estate, infrastructure, energy, retail, and technology & telecommunication sectors, from legal due diligence and drafting of project finance documents through to issuance of closing opinion.

Private Equity

Acted for sponsors, funds, and investee companies across the full PE lifecycle including term sheets, legal due diligence, drafting shareholder agreements, investment documentation, PEbacked financing structures, exit documentation, and regulatory compliance.

Structured Finance

Engineered complex financing solutions including securitisation, intercreditor arrangements, refinancing, and sell-down of loans, advising financial institutions and corporates on domestic and cross-border transactions.

General Corporate

Handled corporate advisory/ transactional mandates for corporates, financial institutions, funds, and their investee companies, spanning M&A, corporate structuring & restructuring, drafting of commercial contracts, FEMA/ FDI/ SEBI compliance, regulatory advisory, and corporate governance.

Disputes – Litigation & Arbitration

Represented numerous financial institutions and corporates before the Supreme Court, High Courts, NCLT/ NCLAT, and DRT/ DRAT in commercial, financial, and insolvency disputes; and managed domestic and international arbitrations from strategy and interim relief through to enforcement.
